Order form
The SegAudit order terms on top of the EULA for a paid license: edition, quantity, a fixed term paid once with no automatic renewal, renewal price and codes.
A merchant of record may collect payment. SegAudit LLC remains the licensor.
The order controls edition, quantity, term, and fees. The EULA controls the license. If they conflict on those commercial points, the order wins.
Customer. Legal name, address, and the person authorized to accept.
Edition and quantity. One of Engagement, Professional, or Asset Owner edition, and the count. An Engagement names the one client, which must not be the customer or an affiliate, the sites (up to 5, plus any extra sites bought), and the term: 90 days, or 180 days for a site with no firewall rules yet. If the term is blank, it is 90 days. An Asset Owner edition order names each site and the covered devices at each, physical or virtual. A Professional order names the seat count.
Fees. The price for the term, paid once, at the list prices published on the pricing page on the order date. Asset Owner edition is priced per site in bands: each band prices only the sites inside it. Fees are exclusive of sales, use, and VAT.
No automatic renewal. Every license runs for the fixed term on the order. It doesn’t renew on its own, and nothing is charged again unless the customer places a new order to renew.
Renewal price. A renewal is priced at the list price published on the renewal date, never above it. If the list price changed in the 12 months before the renewal, the renewal is priced at the list in effect when the customer bought the license being renewed, or the new list if that is lower. SegAudit announces list price changes 90 days ahead.
Discount codes. A discount comes only as a code given to a defined group, such as one insurer’s policyholders or one consultant’s clients. A code that applied to an order also applies to that customer’s renewals for as long as the code’s group exists.
Upgrade credit. Engagements the same organization bought in the 90 days before its first Professional order count toward that order, up to US$5,000. The credit can be used once.
Term. Start date and end date. Unused time is not refundable, except under the refund policy, the warranty remedy in the EULA, or where the law requires it.
Acceptance. The customer accepts the EULA version named on the order by signing the order, or by ticking the license agreement checkbox at checkout before paying. Installing or using a license file is not a separate acceptance. The customer represents that it has permission to load any third party’s configurations.
Account data. The data processing terms apply to contact and billing data. They do not apply to firewall data.
