Clickwrap agreement

How a SegAudit customer accepts the EULA at install, first run, checkout and trial sign-up, what each checkbox says, and the record of acceptance kept.

The installer already has an I Agree button. This is the text that button must present.

What the customer sees

The screen shows the EULA, or a link that opens it in the same view, before any install or payment finishes. The buttons are I Agree and Cancel. Continuing, downloading, or closing the window is not acceptance. The agree control stays inactive until the terms have been displayed.

Suggested installer text:

SegAudit End User License Agreement, version 0.5. By clicking I Agree you accept it for the company named below, if you have authority to do so. If you do not agree, click Cancel. The software is licensed, not sold. Generated changes are suggestions. You must review them before applying them to a production system.

Checkout shows the order summary (edition, quantity, term, and price), then one checkbox, unchecked by default, that must be ticked before payment opens: “I accept the license agreement (version 0.5) for the company named above, and I’m authorized to do so.” The words “license agreement” link to the EULA. Next to the button, the checkout shows: “One payment for the term shown. It doesn’t renew on its own, and nothing is charged again unless you renew.” The licensing service records the EULA version and the time with the order. The renewal page uses the same checkbox.

The app shows the agreement once on each computer, the first time a license is used there, on every platform: Windows, macOS, Linux and the server image. It names the licensee from the license file and has I Agree and Not now. Until the customer agrees, the app runs as if no license were loaded. The app keeps the EULA version, the time and the license id in that browser on that computer, and sends nothing. Trial licenses skip this step, because the trial form already recorded the acceptance. This covers installs that never show an installer screen, such as macOS, Linux packages and the server image.

The trial form has one checkbox, unchecked by default, that must be ticked before the form sends: “I’m 18 or older, I’m signing up for business use, and I accept the license agreement on behalf of my company.” The words “license agreement” link to the EULA. Both sentences come from one source in the code (src/lib/legal-terms.ts), so every page shows the same words.

The security-pack checkbox is a different agreement. It accepts the mutual NDA only. Source review is signed, not clicked.

The agreement

This clickwrap agreement is between SegAudit LLC, a Wisconsin limited liability company, and the person or company that clicks I Agree.

1. Acceptance. By clicking I Agree, you accept the EULA version shown on the screen and confirm that you have read the privacy policy. If you are paying, you also accept the order shown above the button. If you are opening the security pack, you accept the mutual NDA instead, not the EULA.

2. Authority. If you name a company, you represent that you are authorized to bind it. “You” means that company. If you are not authorized, do not click I Agree.

3. Business use and age. You represent that you are accepting as a business, not as a consumer, and that you are at least 18 years old.

4. What you do not accept. You do not accept a different license by downloading, by sending a purchase order, or by using the software after clicking Cancel. A purchase order does not change the EULA.

5. Decline. Cancel closes the installer or the checkout without a license. You may delete any copy you already downloaded.

6. Record. SegAudit keeps the EULA version, the time, the name and company you entered, and the fact of the click. For a trial it also keeps the statement shown with the checkbox. For a website acceptance it also keeps the IP address and country. For a checkout it also keeps the order. An acceptance in the app stays on the customer’s computer. That record is described in the privacy policy and kept for the license term, then seven years. The software itself does not phone home to record acceptance.

7. Later versions. A new EULA version applies to a renewal or a new install only if it is shown and you click I Agree again. It does not change a term you already accepted.

8. Conflict. The EULA controls the license. The order controls edition, quantity, term, and fees. This page controls only how you accept them.
